Terms & Conditions

1. Acceptance of Terms

By accessing and using this website and engaging with ST Comp Holdings Sdn. Bhd. ("Company", "we", "us", "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must discontinue use of our website and services immediately.

2. Services Provided

ST Comp Holdings provides software development services including web development, mobile app development, AI integration, ERP system implementation, and related digital transformation solutions. The scope of services is defined in individual project agreements and quotes.

3. Quotations and Contracts

All quotations provided are valid for 30 days unless otherwise stated. A quotation does not constitute an offer or acceptance—it is an invitation to treat. A contract is formed only when both parties have executed a formal written agreement or project contract.

Project scope, timeline, and deliverables are detailed in the signed contract. Any changes to scope must be requested in writing and will incur additional costs or timeline adjustments.

4. Payment Terms

Payment Schedule: Payment is typically due according to project milestones as specified in the project agreement. A 50% deposit may be required to commence work.

Late Payment: If payment is not received by the due date, the Company reserves the right to suspend services, charge a late fee of 1.5% per month (or the maximum permitted by law), and pursue legal action for recovery.

Currency and Fees: All prices are quoted in the currency specified and are exclusive of Service Tax (SST) and any other applicable taxes, which will be added to your invoice.

5. Service Delivery and Timeline

Timelines provided are estimates and are contingent upon timely provision of information, approvals, and resources by the Client. The Company is not liable for delays caused by Client non-responsiveness, scope changes, or external factors beyond its control.

The Company uses commercially reasonable efforts to meet agreed deadlines but does not guarantee specific delivery dates unless expressly stated in a written Service Level Agreement (SLA).

6. Intellectual Property Rights

Custom Development: Source code, designs, and deliverables created specifically for you under a project agreement become your property upon full payment. The Company retains the right to use general methodologies and frameworks in future projects.

Pre-existing IP: Any intellectual property, tools, libraries, or frameworks created by or owned by the Company prior to the engagement remain the Company's exclusive property.

Third-Party Components: The deliverables may contain third-party components, open-source libraries, or licensed software. Your use must comply with their respective licenses.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation persists for 3 years after the project concludes. Exceptions include disclosures required by law, court order, or regulatory authority.

8. Warranties and Disclaimers

Service Warranty: The Company warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. However, the Company does not warrant that the deliverables will be error-free or meet all your requirements.

No Other Warranties: Except as expressly stated, the Company disclaims all other warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Third-Party Services: The Company is not responsible for the performance, availability, or security of third-party services, APIs, hosting platforms, or cloud services used in the project.

9. Limitation of Liability

Except for breaches of confidentiality, intellectual property infringement, or gross negligence, the Company's total liability shall not exceed the total amount paid for the project in question or RM 5,000, whichever is greater.

In no event shall the Company be liable for indirect, incidental, special, consequential, punitive, or lost profits damages, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company from any claims, damages, losses, and expenses (including attorney's fees) arising from: (a) your use of the deliverables; (b) your violation of these terms; (c) content or materials you provide; or (d) your infringement of third-party rights.

11. Website Usage Terms

You agree not to:

  • Violate any applicable laws or regulations
  • Engage in illegal activities or harassment
  • Attempt unauthorized access or hacking
  • Interfere with website functionality or security
  • Transmit malicious code, viruses, or malware
  • Scrape, crawl, or systematically collect data without permission

12. Termination

Either party may terminate a project agreement with written notice. Termination does not relieve payment obligations for work completed. Upon termination, deliverables completed to date will be provided, and ownership transfers upon receipt of final payment.

13. Dispute Resolution

Governing Law: These terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles.

Jurisdiction: Both parties irrevocably submit to the exclusive jurisdiction of the courts of Malaysia, specifically the courts of Selangor or Cyberjaya.

Dispute Resolution: Before initiating legal proceedings, the parties agree to attempt resolution through good faith negotiation. If negotiation fails, disputes may be escalated to mediation or arbitration as agreed by both parties.

14. Entire Agreement

These Terms and Conditions, together with any project agreements, quotes, and service level agreements, constitute the entire agreement between you and the Company and supersede all prior understandings, whether written or oral.

15. Amendments and Severability

The Company reserves the right to amend these terms at any time. Material changes will be posted with an updated effective date. If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
